Transaction Information
The Lovesac Company, a portfolio company of Mistral Equity Partners and Satori Capital, has closed its initial public offering of 4,025,000 shares of its common stock, which includes the sale of an additional 525,000 shares of common stock pursuant to the full exercise of the over-allotment option granted to the underwriters and an increase from the 3,000,000 shares stated in the initial preliminary prospectus. The shares were sold at the public offering price of $16.00 per share, above the price range of $13.00 to $15.00, resulting in gross proceeds of $64.4 Million. The Lovesac Company shares began trading on the Nasdaq Global Market on June 27, 2018 under the ticker symbol “LOVE”.

ROTH Capital Partners acted as sole book-running manager for the offering.
